Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and UNISEN Learn ("UNISEN Learn", "we", "us", or "our"), the operator of the Prism Learning platform and website at prismlearning.ai (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About the Service
Prism Learning is an AI-powered learning platform that turns user-provided materials — such as notes, documents, links, and images — into personalized study guides, quizzes, lesson plans, podcasts, flashcards, and other learning outputs. The Service is provided by UNISEN Learn.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
2. Acceptance and authority
By using the Service, you confirm that you have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you are an individual, you must be at least 13 years old (or the minimum legal age in your jurisdiction) to use the Service.
3. Account and credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it updated. You must notify us immediately of any unauthorized use of your account.
4. Acceptable use
You agree not to misuse the Service. You must not:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Engage in fraud, spam, phishing, or deceptive practices.
- Infringe intellectual property rights, privacy rights, or other legal rights.
- Interfere with the security or availability of the Service, including by introducing malware, viruses, or other harmful code, or by probing, scanning, scraping, or attempting to breach our systems.
- Reverse engineer, decompile, or attempt to discover the source code of the Service, except as permitted by law.
- Resell, redistribute, sublicense, or circumvent any technical limits or access controls of the Service.
- Generate, upload, or distribute content that is illegal, harmful, hateful, harassing, defamatory, discriminatory, or that violates the rights of others.
- Use AI-generated outputs as professional, legal, medical, financial, or investment advice without independent verification.
5. User content and intellectual property
You retain ownership of any content you upload to the Service ("User Content"). You grant UNISEN Learn a limited license to use, reproduce, modify, and display User Content solely to operate the Service and generate learning outputs for you. You represent that you have all rights necessary to upload and use User Content in the Service.
UNISEN Learn retains all ownership, rights, and interests in the Service, its software, documentation, branding, designs, and other intellectual property. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your personal or internal business purposes in accordance with your selected plan.
6. Payments, subscriptions, and billing
Certain features of the Service require payment of fees. Payments, billing, tax, subscription renewals, cancellations, and refunds are handled by our Merchant of Record, Paddle. For details about payment terms, subscription renewal, cancellation, and refund mechanics, please refer to Paddle's Buyer Terms. You agree to pay all fees applicable to your selected plan and authorize Paddle to charge the payment method you provide.
Subscriptions automatically renew for the same billing period unless canceled before the renewal date. You may cancel your subscription at any time through the billing settings in your account or by contacting Paddle support.
7. Service levels and warranties
The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain inaccuracies or incomplete information, and you are responsible for reviewing and verifying outputs before relying on them.
To the fullest extent permitted by law, UNISEN Learn disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, UNISEN Learn's aggregate liability arising from or relating to these Terms or the Service will not exceed the total amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to liability. In no event will UNISEN Learn be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or loss of goodwill, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where such limitations are prohibited by law.
9. Indemnity
You agree to indemnify, defend, and hold harmless UNISEN Learn, its affiliates, and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. Upon termination, your right to use the Service immediately ceases.
After termination, you may have a limited window to export your data. We may delete or anonymize your data after that window, except where we are required to retain it by law.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Iowa, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Iowa, and you consent to the personal jurisdiction of those courts.
12. Assignment and force majeure
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets. Neither party will be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, or failure of telecommunications or internet service.
13. Changes to these Terms
We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service or by email. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.
